Terms of Service — Cloudios

These Terms of Service ("Terms") govern your use of the Cloudios FinOps
multi-cloud optimization platform ("Service") provided by Cloudios SAS
("we", "us").
By accessing or using the Service, you agree to be bound by these Terms.
1. Account Registration
- You must be 18+ to use the Service
- You must provide accurate registration information
- You are responsible for safeguarding your credentials
- You are responsible for all activity on your account
2. Subscription Plans
- Free : Limited features (1 AWS account, 50 scans/month)
- Starter ($49/mo) : 5 AWS accounts, unlimited scans, AI Verifier
- Growth ($199/mo) : 20 accounts, multi-cloud (GCP/Azure), K8s
- Scale ($499/mo) : 50 accounts, plugin SDK, SOC2 evidence
- Enterprise (custom) : unlimited, SLA, dedicated support, on-prem option
Subscription via Stripe Checkout. Auto-renew monthly/annual. Cancel anytime.
3. Use of the Service
You agree NOT to :
- Reverse engineer, decompile, or attempt to extract source code
- Use the Service for unlawful activities (fraud, illegal content)
- Probe security vulnerabilities (except via our Bug Bounty program — to be launched)
- Resell or sublicense the Service
- Use automated tools to scrape data
- Submit false or misleading data
Permitted automation : official `@cloudios/cli` npm package + REST API.
4. Customer Data
- You retain ownership of all data you submit (Customer Data)
- We process Customer Data solely to provide the Service (per DPA + Privacy Policy)
- You grant us a limited license to host, display, and process Customer Data
- We do NOT use Customer Data to train AI models or for marketing
5. Service Availability
- Target SLA : 99.5% monthly uptime (Starter+) / 99.9% (Scale+)
- Maintenance windows : Sunday 02:00-04:00 UTC (announced 48h in advance)
- Status page : status.cloudios.com (or /status in-app)
- Credit policy : if SLA missed, automatic credit on next invoice
(5% for <99.5%, 10% for <99.0%, 25% for <95.0%)
6. Intellectual Property
- Cloudios platform code : proprietary, all rights reserved
- Open source dependencies : respective licenses (see /docs/licenses)
- Customer Data : owned by you, you grant license to operate Service
- Feedback you provide : non-exclusive, royalty-free, perpetual license to use
7. Payment Terms
- Billing : monthly or annual (annual = 2 mois gratuits)
- Currency : USD/EUR/GBP (per user preference)
- Failed payments : 7-day grace period then service suspension
- Refunds : pro-rated for annual plans cancelled within 30 days (full refund)
- Tax : added at checkout per jurisdiction (VAT for EU)
8. Termination
You may cancel anytime via /dashboard/settings → Cancel subscription.
We may terminate accounts that :
- Violate these Terms
- Engage in fraud or abuse
- Fail to pay (after grace period)
- Pose security risk to other customers
Upon termination :
- Service access ends immediately
- Customer Data retained 30 days then permanently deleted
- Export available during 30-day window (`/api/account/export`)
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER
EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that recommendations will achieve specific cost savings.
Customer is responsible for reviewing and approving each recommendation
before applying.
10. Limitation of Liability
CLOUDIOS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL
DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, EVEN IF ADVISED OF
SUCH DAMAGES.
Our aggregate liability shall not exceed the amount you paid us in the
12 months preceding the claim, or $10,000, whichever is greater.
11. Indemnification
You agree to indemnify Cloudios against any claims arising from :
- Your violation of these Terms
- Your violation of third-party rights
- Your Customer Data (legality, ownership)
12. Governing Law
These Terms are governed by French law. Disputes resolved in the courts
of Paris, France. EU consumers retain rights under their local law.
13. Changes to Terms
We may modify these Terms with 30-day notice via email. Continued use
after the effective date constitutes acceptance.
